Terms of Service

These Terms of Service ("Terms") govern access to and use of the BikeServ motorbike fleet maintenance and breakdown management platform (the "Service"), provided by BikeServ ("BikeServ", "we", "us", "our"). The Service is made available via a web-based dashboard (the "Dashboard") for dealerships and their staff, and via mobile applications for fleet owners and drivers (the "Mobile Apps").
By accessing or using the Service — whether as a dealership, a fleet owner, or a driver — you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- Dealership — the motorbike dealership or business that holds a BikeServ subscription and registers bikes, owners, drivers and staff under its account.
- Owner — a customer of a Dealership who owns one or more bikes registered on the Service and has been given access to the Mobile App by the Dealership.
- Driver — an individual assigned to operate a bike registered on the Service, given access to the Mobile App by the Dealership.
- Account — any login created for a Dealership, Owner or Driver to access the Service.
2. The Service
BikeServ helps motorbike dealerships manage their fleet of bikes, schedule and record maintenance and repairs, generate job cards and quotes, track breakdowns and emergency (SOS) events, and communicate with bike owners and drivers. Owners and drivers do not register themselves — accounts are created and managed by the Dealership, which is responsible for the accuracy of the information it provides and for managing who has access.
3. Accounts and Access
- Dealerships are responsible for keeping their staff, owner and driver records accurate and up to date, and for promptly removing access for staff, owners or drivers who should no longer have it.
- Each user is responsible for keeping their login credentials confidential and for all activity that occurs under their Account.
- You must notify us immediately of any unauthorised use of an Account or any other breach of security.
4. Subscriptions, Billing and Payment
Access to the Dashboard and Mobile Apps is provided to Dealerships on a subscription basis, billed per active bike registered on the platform, in South African Rand (ZAR), unless otherwise agreed in writing.
- Billing cycle. Subscription fees are billed monthly in advance, based on the number of active bikes on the Dealership's account during the billing period.
- Payment method. Fees are currently payable by EFT, using the unique payment reference code allocated to the Dealership. Payment is due by the date specified on the invoice or statement.
- Late or non-payment. If payment is not received within a reasonable grace period after the due date, we may suspend access to the Dashboard and/or Mobile Apps for the affected Dealership (and its owners and drivers) until the account is brought up to date. We will make reasonable efforts to notify the Dealership before suspension.
- Price changes. We may change subscription pricing from time to time. We will give Dealerships at least 30 days' notice of any price increase, which will take effect at the start of the next billing cycle.
5. Free Trial
New Dealerships may be given a free trial period. During the trial, the Service is provided "as is" with no payment due. At the end of the trial period, continued use of the Service requires an active paid subscription. We may end or modify trial offers at any time.
6. Cancellation
- A Dealership may cancel its subscription at any time by giving us written notice (e.g. by email to support@bikeserv.app).
- Cancellation takes effect at the end of the billing period in which notice is given — there is no early termination fee, but fees already due for the current billing period remain payable in full.
- On cancellation, the Dealership's Dashboard access and the Mobile App access of its owners and drivers will be deactivated at the end of the billing period.
- We may retain a copy of the Dealership's data for a reasonable period after cancellation (see our Privacy Policy for retention details) in case the Dealership wishes to reactivate, after which it may be permanently deleted.
- We may suspend or terminate any Account, or a Dealership's entire subscription, for breach of these Terms, non-payment, fraudulent or unlawful use, or conduct that puts other users, drivers or the Service at risk.
7. Refunds
- Subscription fees are billed in advance and are non-refundable for the remainder of a billing period once that period has started, including where a Dealership cancels partway through a month or removes bikes from its fleet partway through a month.
- If we are unable to provide the Service due to an error on our part (e.g. an extended, unplanned outage materially affecting the Service for several days), we may, at our discretion, issue a partial credit or refund for the affected period.
- If you believe you have been billed in error, contact support@bikeserv.app within 30 days of the charge and we will investigate and correct genuine billing errors.
- Nothing in this section limits any rights a Dealership has under the Consumer Protection Act 68 of 2008, to the extent it applies.
8. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose, or to submit false, misleading or fraudulent information (e.g. fake job cards, breakdowns or quotes);
- attempt to gain unauthorised access to any part of the Service, other users' data, or the systems supporting it;
- interfere with, disrupt, or place undue load on the Service or its infrastructure;
- use the Service to harass, threaten or harm another user.
9. Breakdown (SOS) Alerts — Important Notice
The breakdown/SOS feature is designed to notify a bike's registered owner and the Dealership that a driver has reported a breakdown or emergency, using the location and contact information available on the Service. It is not a substitute for contacting emergency services. In a genuine emergency, drivers and owners should always contact local emergency services (e.g. police, ambulance, roadside assistance) directly and immediately. We do not guarantee that alerts will be delivered instantly, or at all — delivery depends on factors outside our control, including the recipient's device, network connectivity, and notification settings.
10. Location Data
The Mobile Apps may collect location data from a driver's device in connection with breakdown/SOS reporting and fleet tracking features described in our Privacy Policy. Dealerships are responsible for ensuring their drivers are informed that their location may be shared with the Dealership and the relevant bike owner when using these features.
11. Intellectual Property
The Service, including its software, design, branding and documentation, is owned by BikeServ or its licensors and is protected by applicable intellectual property laws. Dealerships, owners and drivers retain ownership of the data they submit (e.g. bike, maintenance and customer records), and grant BikeServ a licence to host, process and display that data solely for the purpose of providing the Service.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. While we aim to keep the Service accurate, secure and available, we do not warrant that it will be uninterrupted, error-free, or free of harmful components. Maintenance schedules, cost estimates and reports generated by the Service are tools to assist fleet management and do not replace professional mechanical inspection or judgement.
13. Limitation of Liability
To the maximum extent permitted by law, BikeServ will not be liable for any indirect, incidental, special or consequential loss or damage (including loss of profits, data, or business) arising from use of, or inability to use, the Service. Our total liability for any claim relating to the Service is limited to the subscription fees paid by the relevant Dealership in the 3 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under South African law.
14. Changes to these Terms
We may update these Terms from time to time to reflect changes to the Service or for legal reasons. We will update the "Last updated" date above, and for material changes we will make reasonable efforts to notify Dealerships (e.g. by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the Republic of South Africa, and any disputes will be subject to the jurisdiction of the South African courts.
